Contract review is most useful when it identifies the provisions that matter to the actual deal: payment terms, scope, deliverables, renewal, termination, indemnification, warranties, limitation of liability, intellectual property, confidentiality, dispute resolution, governing law, notice, assignment, and remedies.
Negotiation and Risk Allocation
The strongest contract is not always the longest or the most aggressive. A useful agreement allocates risk in a way the parties can understand and administer. Negotiation should focus on the provisions that materially affect economics, control, exposure, and exit rights.
Have a Contract Reviewed
Before signing, renewing, terminating, or substantially changing a commercial agreement, focused review can identify obligations and leverage that may not be obvious from the business terms alone.
